1. Acceptance of Terms

By accessing or using Dianoic (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use Dianoic. These terms apply to all users, including those in our private beta program.

2. Description of Service

Dianoic is an AI-powered business intelligence platform that analyzes your sales data and delivers actionable insights. During our private beta, access is by invitation only and features may change without notice.

3. Account Responsibilities

• You are responsible for maintaining the security of your account credentials.
• You must provide accurate information when creating your account.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized access at [email protected].

4. Your Data

You retain full ownership of all data you upload to Dianoic. By uploading data, you grant us a limited license to process and analyze it solely to provide our services to you. We do not sell your data or use it to train AI models beyond what is necessary to generate your insights.

You are responsible for ensuring you have the right to upload any data you provide, including any data from third-party POS systems.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload data you do not have the right to share
• Attempt to reverse engineer, scrape, or exploit the Service
• Share your account access with others outside your organization
• Use AI-generated insights as a substitute for professional financial, legal, or medical advice

6. AI-Generated Insights

Dino’s insights are AI-generated recommendations based on your data. They are intended to inform your decisions, not replace your judgment. Dianoic is not liable for business decisions made based on AI-generated content. Always apply your own expertise and context when acting on recommendations.

7. Subscription and Billing

Paid plans are billed monthly or annually in advance. During the private beta, billing terms for founding members are as communicated individually.

• You may cancel at any time from your account settings.
• Cancellations take effect at the end of your current billing period.
• We do not offer refunds for partial billing periods, except where required by law.
• We reserve the right to change pricing with 30 days’ notice.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance, apply updates, or experience outages. During private beta, the Service is provided “as is” and may be modified or discontinued at any time.

9. Limitation of Liability

To the maximum extent permitted by law, Dianoic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability is limited to the amount you paid us in the three months preceding the claim.

10. Intellectual Property

The Dianoic platform, including Dino’s AI engine, interface, and all related technology, is owned by Dianoic and protected by applicable intellectual property laws. You may not reproduce or create derivative works without our written consent.

11. Termination

We reserve the right to suspend or terminate your account for violation of these terms. You may close your account at any time. Upon termination, your data will be deleted within 30 days.

12. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration, except where prohibited by applicable law.

13. Changes to Terms

We may update these terms at any time. We’ll notify you of significant changes by email or in-app notice. Continued use after updates constitutes acceptance.
